Terms of Service
These Terms of Service (“Terms”) govern your use of the services provided by Eji Tech Life Services (“we,” “us,” or “our”), a digital transformation agency based in Lagos, Nigeria. By engaging our services or using our platforms, you agree to be bound by these Terms. Please read them carefully.
1. Our Services
Eji Tech Life Services provides the following categories of services:
- ERPNext/Frappe Implementation: Business software setup, configuration, customisation, and ongoing support.
- n8n Workflow Automation: Design, deployment, and maintenance of automated business workflows.
- Mautic Marketing Automation: Email marketing setup, campaign management, and contact lifecycle automation.
- Web Hosting & Reseller Services: Managed hosting, domain management, and server administration for client websites and applications.
- AI-Powered Content Pipelines: Automated content generation, publishing, and management systems powered by artificial intelligence tools.
Specific deliverables, timelines, and pricing for each engagement are defined in separate service agreements or proposals agreed between both parties.
2. Eligibility
By using our services, you represent that you are at least 18 years old, have the legal authority to enter into a binding agreement, and are engaging us on behalf of yourself or a duly authorised organisation.
3. Engagement & Payment
- All projects are initiated upon receipt of a signed proposal or written confirmation and an agreed deposit or full payment, as specified in the proposal.
- Our standard project baseline is ₦2,000,000 for custom consulting engagements. Smaller scopes may be directed to productised SaaS configurations at separately published rates.
- Invoices are due within the period stated on the invoice. Late payments may result in suspension of services or work stoppage.
- AI API usage and third-party service costs (hosting credits, SMS, email delivery) are billed as part of service packages and may fluctuate based on provider pricing. Clients will be notified of material changes.
- All fees are quoted and payable in Nigerian Naira (₦) unless otherwise agreed in writing.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate and complete information required for project delivery.
- Grant timely access to systems, accounts, and resources necessary for implementation.
- Designate a point of contact who can make decisions on your behalf.
- Review and approve deliverables within agreed timelines. Delays in client review may affect project schedules.
- Ensure your use of the systems we configure complies with applicable law and third-party platform terms.
5. Intellectual Property
- Client Data: You retain ownership of all data, content, and materials you provide to us.
- Deliverables: Upon receipt of full payment, ownership of custom deliverables specifically created for your project transfers to you, except for our proprietary frameworks, templates, and tools which remain our property and are licensed to you for use.
- Open Source Components: Some implementations involve open-source software (including ERPNext, Frappe, n8n, and Mautic) governed by their respective licences. We do not transfer rights we do not hold.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the engagement. This obligation survives termination of the service relationship. We will not disclose your business data to third parties except as necessary to deliver the agreed services or as required by law.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- We are not liable for indirect, incidental, consequential, or special damages arising from your use of our services.
- Our total liability for any claim arising out of a specific engagement shall not exceed the total fees paid by you for that engagement in the preceding three (3) months.
- We are not responsible for downtime, data loss, or service interruptions caused by third-party providers (hosting infrastructure, API services, payment gateways) outside our reasonable control.
8. Warranties & Disclaimer
We provide our services with reasonable skill and care. However, we do not warrant that services will be uninterrupted, error-free, or that results achieved will meet specific business outcomes. AI-generated content may require human review before publication and is provided without guarantee of accuracy or fitness for a particular purpose.
9. Termination
- Either party may terminate an engagement with 14 days’ written notice, unless the service agreement specifies otherwise.
- We may suspend or terminate services immediately for non-payment, breach of these Terms, or conduct that puts our systems or other clients at risk.
- Upon termination, you remain responsible for any fees due up to the termination date. We will make reasonable efforts to hand over project assets and documentation within 30 days of termination.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be referred to mediation or arbitration in Lagos, Nigeria, before recourse to litigation.
11. Modifications to These Terms
We reserve the right to update these Terms at any time. Changes will be published on this page with a revised effective date. Continued engagement with our services after changes constitutes acceptance of the updated Terms. For active projects, material changes will be communicated directly.
